SUSTAINABILITY OBLIGATIONS
- Environmental Commitments
Service Provider will (i) use good faith efforts to set its science-based greenhouse gas emissions reduction targets in a timely manner but no later than 2027; (ii) use good faith efforts to reduce greenhouse gas (GHG) emissions, progress on its targets, and mitigate climate change.
- Disclosure
Service Provider will on an annual basis during the term of the Agreement publicly disclose its emissions reduction strategy, initiatives, progress, and its total GHG emissions according to the GHG Reporting Standard. This shall include Scope 1 Emissions, Scope 2 Emissions, and Scope 3 Emissions.
If requested by Company, Service Provider will provide information on its sustainability commitments, initiatives, progress, and a plan of continuous improvement to reduce the environmental impact of the products and/or services under the Agreement to Company within 30 business days.
- Compliance with Laws
Service Provider agrees that it conducts business in material compliance with all applicable environmental laws and represents that it has not received written notice of material violation of such environmental laws with respect to its operations or, if it has received such a notice, Service Provider has remediated any material violations of environmental law for which it has received notice.
DEFINITIONS
- “GHG Reporting Standard” means the (i) Greenhouse Gas Protocol, A Corporate Accounting and Reporting Standard, Revised Edition 2015, (ii) Greenhouse Gas Protocol, GHG Protocol Scope 2 Guidance, An Amendment to the GHG Protocol Corporate Standard, 2015, and (iii) Greenhouse Gas Protocol, Corporate Value Chain (Scope 3) Accounting and Reporting Standard, Supplement to the GHG Protocol Corporate Accounting and Reporting Standard, 2011 or the then-current version of the applicable GHG Reporting Standard.
